1. Acceptance of Terms

By downloading, installing, or using the Brainy mobile application (“App”) or accessing our website https://gobrainy.ai/, you agree to these Terms of Service (“Terms”). If you do not agree, do not use the App or website.

These Terms incorporate our Privacy Policy.

2. Eligibility

- You must be at least 16 years old in the EU/UK and 13 years old elsewhere.
- By creating an account, you confirm that you meet these requirements.
- If you are accepting on behalf of an organization, you represent you have authority to bind that entity.

3. Services Provided

Brainy provides a mobile app that curates, organizes, and summarizes knowledge for personal use.

- Platforms supported: iOS and Android.
- The App is provided globally but not specifically targeted at any jurisdiction.
- We may add, change, or remove features at any time.

4. Accounts and Access

- You must provide accurate information when creating an account.
- You are responsible for keeping your login credentials secure.
- You may delete your account at any time through in-app controls or by contacting support.

5. License

We grant you a limited, non-exclusive, non-transferable, revocable license to use the App for your personal, non-commercial purposes.
You agree not to:
- Copy, modify, or distribute the App or its content except as permitted.
- Reverse engineer, decompile, or otherwise attempt to extract the source code.
- Use automated tools to scrape, bulk export, or overload our systems.
- Circumvent any technical protection or security measures.

6. Content and Intellectual Property

- All curated content in the App is for informational and educational purposes.
- Summaries and excerpts generated by the App may be freely shared by users, including outside the App, provided that they are attributed to Brainy when shared publicly.
- Users may not reproduce, republish, or redistribute the curated source materials outside the App without authorization from the rights holders.
- Brainy reserves the right to remove or modify content at any time.
- Intellectual property rights in the App, trademarks, and Brainy’s original content remain with Brainy AI Ltd.

Infringement complaints may be sent to legal@gobrainy.ai. We will review and act as required by law.

7. AI Services Disclaimer

- The App uses AI services (currently OpenAI) for summarization and assistance.
- User data is not used to train AI models.
- Outputs may contain inaccuracies, and you should verify before relying on them.
- AI outputs do not constitute professional advice (medical, legal, financial, or otherwise).
- You are solely responsible for your use of AI outputs.

8. Payments and Subscriptions

- Currently, the App does not charge fees or offer subscriptions.
- In the future, we may introduce paid features via Apple App Store or Google Play billing.
- Paid features will be subject to store billing rules, refund policies, and renewal terms.
- Prices may change, and continued use of paid features constitutes acceptance.

9. Third-Party Services

The App may include links or integrate with third-party services.
- Brainy is not responsible for third-party content or services.
- You may be required to accept additional third-party terms.
- Open-source components are provided under their respective licenses.

10. Availability and Support

- The App is provided “as is” without guarantees of uptime or uninterrupted access.
- We may suspend or modify features without notice.
- Beta features may be unstable and provided for testing only.
- Support is available via support@gobrainy.ai on a best-effort basis.

11. Termination

- You may terminate your account at any time.
- We may suspend or terminate access if you violate these Terms, abuse the service, or for legal reasons.
- Upon termination, your license ends immediately.
- Sections on intellectual property, disclaimers, liability, and dispute resolution survive termination.

12. Warranties and Disclaimers

The App is provided “as is” and “as available.”
We disclaim all warranties, express or implied, including fitness for a particular purpose, reliability, or accuracy of AI outputs.
You assume all risk from using the App and its content.

13. Limitation of Liability

To the maximum extent permitted by law:
- Brainy will not be liable for indirect, incidental, consequential, or punitive damages.
- Our total liability for any claim is limited to the greater of USD 100 or amounts you paid in the last 12 months.
- These limitations apply even if we have been advised of possible damages.
- Nothing in these Terms limits liability for gross negligence, willful misconduct, or where prohibited by law.

14. Indemnification

You agree to indemnify and hold Brainy AI Ltd harmless from any claims, damages, or expenses arising from:
- Your use of the App in violation of these Terms;
- Your misuse of AI outputs;
- Your breach of applicable laws.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Dubai International Financial Centre (DIFC).
Any disputes shall be resolved exclusively in the courts of the DIFC, Dubai, UAE.

16. Export Control and Sanctions

You agree not to use the App in violation of applicable export control laws or sanctions regulations.

17. Changes to Terms

We may update these Terms from time to time.
- Updates take effect when posted on https://gobrainy.ai/.
- Material changes will be notified in the App, on our website, or by email where available.
- Continued use after changes constitutes acceptance.

18. Apple App Store & Google Play Addendum

- These Terms supplement the Apple Licensed Application End User License Agreement (LAEULA) and Google Play policies.
- Apple and Google are not responsible for providing maintenance or support.
- Apple is a third-party beneficiary of these Terms and may enforce them.
- You must comply with applicable app store rules and device terms.

Mobile EULA Addendum (Apple-Specific Clauses)

- You may only use the App on Apple-branded devices running iOS as permitted by Apple.
- Apple is not responsible for claims relating to the App, including product liability, legal compliance, or consumer protection.
- In the event of a third-party intellectual property claim, Brainy (not Apple) will be responsible for investigation and defense.
- You represent that you are not located in a country subject to a U.S. Government embargo or listed as a prohibited party.
